AGREEMENT on participation in the loyalty program "INVITE" (PUBLIC OFFER)

This Agreement is an official public written offer (proposal)
LLC "Rigla" (hereinafter referred to as the "Organizer"), addressed to all interested parties (hereinafter referred to as the Participants), collectively referred to as the Parties, to conclude an Agreement on participation in the "WELCOME" Loyalty Program (hereinafter referred to as the Program). The text of this Agreement is a public offer in accordance with article 435 and part 2 of article 437 Civil Code RF.

The subject of this Agreement is the possibility for Participants to use incentives provided by the Organizer for purchases made in its pharmacy chains, purchase of goods, works, services with the presentation of a Loyalty Program card. In accordance with paragraph 3 of Article 438 of the Civil Code Russian Federation if the proposed conditions are accepted, the person who accepts this public offer participates in the "INVITE" loyalty program, by receiving, accumulating and using bonuses with the presentation of the "Member Card", becomes the Customer (Card Holder) under the agreement on the conditions set forth below.

1. TERMS AND DEFINITIONS

1.1. "Loyalty Program" ("Programme")- a program that allows Participants to accumulate bonuses for purchases at Rigla pharmacies in the Program area with subsequent use of the accumulated bonuses to receive discounts on purchases, as well as receive additional benefits when purchasing goods in pharmacies.

1.3. "Participant"- a capable individual who is a Member Card holder, who at the time of registration in the Program is 18 years old, who has expressed voluntary consent to join the Program by receiving the Card and voluntarily activating it and / or using the Card. The Participant grants the Organizer the right to store, process and use his personal data indicated by the Participant in the questionnaires, submitted to the Organizer by filling out the appropriate forms on the official Website of the Programs, at the checkout or through the Participants' call center operators. Participants are notified that in the event of a Participant's call to the call center, telephone conversations with the operator are recorded.

1.4. "Member Card"(Card) - a plastic card used to identify the Participant in the Program, received and activated by the Participant in accordance with these Rules, allowing the Participant to write off and accumulate Bonuses, as well as receive benefits in accordance with these Rules.

The validity period of the Card is limited by the validity period of the Program or by the decision of the Organizer.

1.5. "Member Bonus Account"("Account") - an account opened in the information system of the Organizer of the Program, containing information about the Participant, the number of accrued / written off Bonuses and the current bonus balance.

1.6. "Bonuses" virtual conditional bonus units credited to the Participant's Bonus account in accordance with the Rules. Bonuses give the right to receive Discounts by exchanging Bonuses for a Discount, or receiving other privileges and incentives provided for by the Promotions. 1.7. "Member Registration Form"("Form") - a form provided by the Organizer of the Program, upon completion of which, an individual agrees with these Rules and expresses his intention to become a participant in the Program. 1.8. 1.9. "Notification"- information, including advertising, transmitted to the Participant using contact information specified during registration in the Program.

1.10. "Personal account of the participant"("Personal Account") - a subsection of the Program Organizer's website, where the Program Participant can familiarize himself with the status of his bonus account, obtain information about additional benefits, correct / supplement the data specified during registration in the Program, enable / disable Notifications.

1.16. "Term of the Program"– from June 01, 2017. The Organizer does not determine the end date of the Program (the Program is held indefinitely) or until the Organizer suspends or cancels it. The Organizer reserves the right to suspend or terminate the Program at any time by posting the relevant information on the Program Website 7 (seven) days before the end of the Program. The Program is not an incentive, sweepstakes or other risk-based game, and no prizes are awarded under this Program.

1.17. Personal data– any information relating directly or indirectly to a specific or identifiable natural person (subject of personal data).

1.18. 1.20. Agreement-offer- An agreement concluded between the Organizer and an individual in accordance with Article 435 and Part 2 of Article 437 of the Civil Code of the Russian Federation, published on the official website of the Program on the Internet at: www.site. The Offer Agreement is considered concluded at the moment of acceptance by the Participant - an individual (Client) of the Organizer's offer.

2. PROCEDURE FOR CONCLUDING THE AGREEMENT (ACCEPTION OF THE OFFER). GENERAL PROVISIONS. TERMS OF PARTICIPATION IN THE PROGRAM

2.1. The terms of participation are an official public offer (offer) of Rigla LLC (hereinafter referred to as the Organizer) in accordance with Article 435, and clause 2 of Article 437 of the Civil Code of the Russian Federation addressed to an unlimited circle of individuals (hereinafter referred to as the Participants), collectively referred to as the Parties, and determine the conditions and procedure for participation in the "We invite" loyalty program. The Participant confirms his unconditional acceptance of these Terms of Participation without any exceptions or restrictions on the rules for joining the agreement (Article 428 of the Civil Code of the Russian Federation)

The Organizer and the Participant acknowledge that the acceptance of an offer (acceptance of an offer) is the fact that an individual (applicant) performs one of the following actions:

Having made an Acceptance, the Participant is considered to have confirmed that he:

  • fully and fully acquainted with and agree to the terms;
  • acquired and uses the Card solely for personal, family or other non-related entrepreneurial activity needs, and such needs do not contradict the current legislation of the Russian Federation.

3. RULES OF PARTICIPATION IN THE PROGRAM

3.1. To participate in the Program, the Participant must purchase a plastic Bonus Card at the cash desk of the Rigla pharmacy at the time of payment for the purchase. The cost of the Bonus card is 50 rubles.

3.2. The card can be purchased at any pharmacy cash desk in the Program area.

Activation of the Card means that the Program Participant is familiar with these rules, expresses his unconditional consent to these Rules and undertakes to comply with them.

By filling out the Questionnaire, receiving the Membership Card, the Member confirms that he is familiar with these Rules, expresses his unconditional agreement with these rules (hereinafter referred to as the "Rules") and undertakes to comply with them.

3.3. Personal data

The fact of obtaining the Participant's consent to the processing of his personal data is considered to be the completion of the Participant's questionnaire and a mark in the column on familiarization with these Rules. The confirmation of the receipt of the above consent by the Organizer is considered to be the activation by the Participant of the Card on the Program website or an audio recording of the transfer of information to the call center operator, including personal data and confirmation of consent.

The purpose of processing the Participant's personal data by the Organizer is the proper fulfillment by the Organizer of its obligations under the legislation of the Russian Federation and these Rules. Ensuring participation in the "WELCOME" Loyalty Program and providing the Participant with information services, including through the formation of personal offers for the sale of goods (works, services, results of intellectual activity).

The Participant agrees that the processing of his personal data can be carried out by any means permitted by the current legislation, including, but not limited to: collection; systematization; accumulation; storage; clarification (update, change); usage; distribution (including transmission); depersonalization; blocking; destruction, as well as the implementation of any other actions with personal data in accordance with applicable law.

In the event that the Participant has provided personal data of third parties, the Participant is responsible for informing the third party about the use of this data and for obtaining the appropriate consent.

Data processing can be carried out both with the use of automation tools and without their use (with non-automated processing).

The Participant acknowledges and confirms that, if necessary, the Organizer has the right to provide personal data to a third party to achieve the above goals. The Participant's consent to the processing of his personal data is valid until it is withdrawn by the Participant or until the termination of the Program. The Participant has the right to withdraw his consent to the processing of his personal data at any time by contacting the Participant by calling the hotline 8-800-777-03-03. In case of withdrawal of consent by the Participant, the Organizer stops processing the Participant's personal data within a period not exceeding thirty days from the date of receipt of the withdrawal; at the same time, personal data is subject to destruction by the Organizer expiration provided by the legislation of the Russian Federation for their storage.

By accepting the terms of the Program, registering for the Program, including during the Activation, as well as using the Participant Card in the future in accordance with Art. eighteen federal law No. 38-FZ of March 13, 2006 "On Advertising", art. 44.1 of the Federal Law of July 7, 2003 No. 126-FZ "On Communications" expresses its consent to receive from the Organizer or on behalf of third parties advertising information distributed over telecommunication networks, including through the use of telephone, facsimile, mobile radiotelephone communications, e-mail , the Internet, to receive on behalf of the Organizer a mailing list via the mobile radiotelephone network by sending short text messages (messages consisting of letters and (or) symbols typed in a certain sequence), including advertising mailings,

The participant has the right to refuse to receive advertising notifications by sending a corresponding request by calling the hotline 8-800-777-03-03, or by making a corresponding note in the personal account Member.

3.4. Only one Membership Card can be issued per individual. If several Cards issued for one Participant are identified, the Program Organizer has the right to block all the Participant's cards, with the exception of the original Card issued earlier than others, with the points accumulated on the blocked cards cancelled.

The Program Organizer has the right to refuse to register an individual in the Program upon detection of a valid registration in the Program for this individual.

3.5. Identification of the Participant is carried out by presenting the Card. To access the personal account of the Program on the website, the login to identify the participant in the Program is the Card number and phone number.

3.6. Responsibility for the safety of the Card and the use of the Card by third parties lies entirely with the Program Participant. The card is the property of the Organizer and is subject to return at his first request.

3.7. The Organizer has the right to suspend the card and cancel the bonus account unilaterally in cases of dishonest use of the Card by the Program Participant, including when the Participant provides false registration data.

3.8. The Participant has the right to terminate participation in the Program at any time by using the exit form of the Program in the Participant's Personal Account or by calling the hotline 8-800-777-03-03. In the event that the Participant revokes consent to the processing of personal data in the manner provided for in clause 3.3. of these Rules, such withdrawal is equivalent to the Participant's application for withdrawal from the Program. Participation in the Program of the Participant who has withdrawn his consent to the processing of his personal data, terminates at the moment of termination of the processing of personal data in accordance with clause 3.3 of the Rules, the Participant's card is blocked.

3.9. The Member's cards are not credit or payment cards and are not a means of payment. Bonus and other accrued under the Program are not equivalent to cash and cannot be exchanged for cash. Cash withdrawal from the Bonus account to the Participant is not made.

3.10. If the Participant withdraws from the Program, the accumulated bonuses are cancelled.

4. BONUS ACCOUNTS

4.1. Bonuses are accrued for the purchase of goods from the Rigla pharmacy. The Organizer unilaterally has the right to determine and change the rules for calculating bonuses. As part of special promotions, additional Bonuses may be credited to the Bonus account of the Program Participant. Bonuses may also encourage certain actions of participants in relation to the Program Organizer. Bonuses become available for withdrawal 24 hours after being credited.

4.2. To accrue Bonuses, the Program Member must notify the Organizer of the intention to accrue by presenting the Member Card to the cashier before making a purchase. If the Program Member did not present the Card before making the purchase, Bonuses for the completed purchase are not accrued. Bonuses are credited to the Card when purchasing goods in Rigla pharmacies on the day of the purchase. The Organizer is not responsible for not accruing Bonuses if the Participant did not notify that the purchase was made under the Program and did not present the Participant Card.

4.3. Bonuses and rights granted to the Participant under the Program cannot be sold, transferred, donated, assigned to another person or used otherwise than in accordance with these Rules or with the consent of the Organizer. Bonuses have no cash value and no monetary value, and cannot be exchanged for Russian rubles.

4.4. Bonuses cannot be credited when purchasing goods using other loyalty programs at the same time in the receipt. When purchasing goods, the Member voluntarily makes a choice whether he wants to use the discount on the Member's card by deducting bonuses, or crediting the card with bonuses for the purchase, or use discounts provided for other programs and promotions.

The Program Organizer has the right, at its discretion, to set restrictions on the use of bonuses to pay for certain Goods.

4.5. Bonuses are credited to the Card upon the first presentation of the Card when purchasing goods.

The organizer can change the amount of accrued bonuses for the purchase. The Organizer is obliged to notify the Participants about this by posting information on the website www.site.

4.7. Additional quantity bonuses can also be obtained by participating in additional promotions. At the initiative of the Organizer, additional promotions may be held to provide discounts, special prices, increased accrual of bonuses to Program Participants for a separate product or group of products purchased at Rigla pharmacies. The validity period of promotions, the list of goods and the amount of discounts is determined by the Organizer unilaterally. 4.8. If the purchase is paid partly with Bonuses, partly in cash (cash or bank card), then Bonuses are awarded only for the part of the purchase that is paid for in cash. An exception to this rule may be individual promotions of the "Welcome" Program.

4.9. Bonuses are not awarded for the purchase of a Gift Card. If the purchase is made with a gift card, Bonuses for such a purchase are accrued.

4.10.Bonuses can be used to pay for an order made in an online pharmacy (subject to pickup).

5. WITHDRAWAL OF BONUSES

5.1. A program participant has the right to use a discount when purchasing goods in Rigla pharmacies, provided that the Bonuses are deducted from the card at the same time.

5.2. Write-off of Bonuses from the Program Participant's Account is possible only after the Participant's registration in the Program in the manner specified in clause 3. of these Rules.

5.3. To write off Bonuses, the Program Member must notify the Organizer of the intention to make a write-off by presenting the Member Card to the cashier before making a purchase and informing about the intention to write off, otherwise the write-off will not be made, and the discount in exchange for bonuses will not be provided. When purchasing goods, the Member voluntarily makes a choice whether he wants to use the discount on the Member's card by writing off bonuses or use the discounts provided for other programs and promotions.

5.4. The Organizer has the right to unilaterally write off Bonuses from the Participant's account in the following cases:

  • erroneous accrual of Bonuses;
  • return of goods for which Bonuses were accrued;
  • after 12 months from the date of accrual of bonuses;
  • accrual of Bonuses within the framework of special promotions, with limited time repayments that have expired;
  • in accordance with the requirements of state authorities;
  • accrual of Bonuses as a result of unfair use of the card.

5.5. The amount of the discount within the available Bonuses is determined by the Participant independently and informs the cashier upon presentation of the Card before making a purchase.

5.6. Bonuses are written off at the rate of 1 (one) Bonus = 1 (one) ruble discount.

5.7. In exchange for bonuses, you can get a discount on the entire range of pharmacies up to 50% of the purchase of goods. As part of special promotions, the discount can be increased up to 99% of the check amount.

In the case of exchanging Bonuses for a Discount, the amount of the provided Discount cannot exceed the balance of Bonuses on the Card at the time of the Bonus write-off operation, and cannot be equal to the full purchase price. At the same time, Bonuses accrued earlier are written off first.

5.8. When the Participant returns one or more goods from a purchase partially paid for with Bonuses, the Participant will be refunded the funds for the returned goods, minus the amount paid by the Participant for the goods bonuses from the cost of the returned goods.

5.9. Bonuses can be exchanged for a Discount at the time of payment for the goods (work, services) at the Organizer's checkout. Bonuses credited to the Card for a purchase being made cannot be exchanged for a Discount on the same purchase.

5.10. It is not allowed to write off Bonuses when paying for "Rigla" Gift Cards.

5.11. When writing off bonuses for an order made in an online pharmacy (subject to self-delivery).

6. Rules for combining with the promotion "-20% for everything"

6.1. It is impossible to accrue bonuses under basic conditions in combination with the "-20% for everything" promotion.

6.2. The write-off of bonuses under the basic conditions in combination with the "-20% for everything" promotion is carried out according to the terms of the basic promotion.

6.2. On the days of the "-20% for everything" promotion, bonuses are awarded for any purchases under the terms of the "Bonuses of -20%" promotion.

6.3. Conditions of the promotion "Bonuses of -20%".

6.3.1. Accrual of promotional bonuses occurs according to the following rules:

6.3.2. Promotional bonuses are credited to the amount of the check after deducting the discount for the "-20% for everything" promotion.

6.3.3. The rules for writing off promotional bonuses are identical to the rules for writing off basic bonuses and are limited to 50% of the check amount.

6.3.4. The validity period of promotional bonuses is limited to the month in which the promotion "-20% for everything" is held.

7. RIGHTS AND RESPONSIBILITIES OF THE ORGANIZER

7.1. The Organizer has the right to temporarily suspend operations with the Cards for technical reasons (failure or failure of communication channels, power outages, as well as in other cases of technical and/or technological failure of equipment and/or software).

7.2. The organizer is not responsible:

  • for damage caused as a result of unauthorized use of the Program Member's Card and access to his Bonus Account and personal data, due to the fault and/or negligence of the Member; in cases of commission of administrative offenses (criminal offenses) by third parties; in case of force majeure circumstances, as well as other actions of third parties
  • The Organizer is not responsible for any indirect / indirect losses or lost profits of the Participant, or third parties as a result of participation in the Program.

The Organizer is not responsible for the Participant's losses resulting from:

  • the presence of "viruses" and other malicious programs in the equipment and software used by the Participant to access the Organizer's website;
  • incorrect filling by the Participant of the details of the documents used on the site;
  • illegal actions of third parties that became available to them through the fault of the Participant, including in the event of loss of the Card or its transfer to a third party;
  • the absence (impossibility of establishing, terminating, etc.) of Internet connections between the Participant's server and the server of the Program Website;
  • performance of works on the Program Website.

The Organizer has the right to carry out maintenance work in the software and hardware complex of the Program Website with a temporary suspension of the Program Website. In the event of force majeure, as well as accidents or failures in the software and hardware systems of third parties cooperating with the Organizer, or actions (inaction) of third parties aimed at suspending or terminating the operation of the Program Website, it is possible to suspend the Program Website without any or notice to the Participant and reimbursement of any kind of damages.

8. RESPONSIBILITIES OF THE PARTICIPANT

9. LOSS OR DAMAGE TO THE CARD
