If we close our eyes to the long-term construction and rely on Alice's previous experience, we can assume that these will be high-quality apartments and a good house. Its location is also attractive. However, the decision to buy an apartment in Zvezda before putting the house into operation requires courage, and it would be useful to first consult with a lawyer.

The conflict around the Alice Corporation, once the largest construction company Petersburg, is in no hurry to fade away: as it became known in early June, equity holders of the Zvezda residential complex, one of the latest projects jointly financed by former partners Andrei Bryndikov and Vadim Shtertser, have already applied to the prosecutor's office.

Shareholders rightly fear that they have become a victim of fraud. Firstly, the object has not been funded for several months, although it was originally supposed to be completed at the end of last year. Secondly, the place of the company's executives, with whom they had previously entered into equity participation agreements, was taken by touring managers with a sad experience of “solving” complex issues.

Back in April of this year, the media reported that due to a conflict between the beneficiaries, certain Ilya Rodionov and Maxim Weinberg turned out to be “actually representatives” of the largest construction company in St. Petersburg. Ilya Rodionov is allegedly the son of Boris Rodionov, who, as the general director of Kaliningradzhilstroy LLC, was found guilty in 2005 by the Kaliningrad district court of abuse of power and embezzlement of 432 equity holders in the amount of 174 million rubles. The son for the father, of course, is not responsible, but for the equity holders of the Zvezda residential complex, the signal is no longer very good. Moreover, according to sources of the National Interests news agency, the company was then actually led by Ilya Rodionov, and his father was only a nominal owner.

With Maxim Weinberg, everything is even more interesting: he describes himself as “a top manager specializing in “difficult” cases: anti-crisis management, complex reorganization, etc. How "complex" such a "reorganization" is can be judged by the fact that most of the structures with which Mr. Weinberg's professional activities were previously associated no longer exist, or have faced serious troubles. For example, the Moscow network for the sale of electronics "MIR" or the retail holding "Marta". According to the Rosbalt news agency, Weinberg was previously sentenced to 5 years for preparing the murder of Uralplastic CEO Alexei Goncharov, after which he served his sentence in a penal colony in the city of Donskoy, Tula Region. Prior to this turning point in his career, Weinberg held managerial positions in manufacturing companies - Drevstroydetal, Bunkovskaya Fabrika, Marta Factory, as well as in the retail sector - Grossmart (food holding).

About work in the ADAMAS jewelry network, the last known place for Mr. Weinberg's talents before appearing on the St. Petersburg horizon, the media write that he left big problems in memory of himself: since last year, ADAMAS has been in VTB is trying to recover from it the debts that were formed just during the work of a specialist in “anti-crisis management”. That is, another bankruptcy, the company is driven into a debt impasse ... Perhaps, in Weinberg's resume, it would be worthwhile to indicate that he specializes in creating, rather than eliminating, "difficult cases." As a result of the already mentioned bankruptcy of Grossmart, its owner Georgy Trefilov was put on the international wanted list for fraud and withdrawal of creditors' funds, which became a loud scandal (the holding subsequently ceased to exist). “Marta”, “Grossmart”, and now “ADAMAS” is an example of a rare sequence - the managerial competencies of a former prisoner can be considered proven.

Considering all that has been said, is it possible to reasonably assume what awaits the equity holders of the Zvezda residential complex (and the material, we recall, is still about them)? “Rodionov and Weinberg are currently positioning themselves as leaders of the Elis Group of Companies and are negotiating with equity holders and creditors,” writes Rosbalt, citing a source in Sberbank of Russia. “Nevertheless, neither Rodionov nor Weinberg are involved in the rescue of business and debt restructuring, in connection with which they initiated the bankruptcy of the companies of the Alice group.” Bankruptcy is always interesting, especially when it is initiated by the managers or beneficiaries of the company themselves: it usually means that in front of all the equity holders there, in the “fair” division of the bankrupt’s property, it is not clear where the creditors who have appeared from, who get the little that was not withdrawn during the “anti-crisis management”. Subsequently, it often turns out that such creditors are affiliated with the current management, which they actively play along with.

In the case of Maxim Weinberg, whose management methods are known more than about the success stories of Ilya Rodionov, we can say that nothing good awaits equity holders. Which does not exclude unpleasant surprises in the future for his employers - Bryndikov and Shterzer. Former colleagues recall that, taking over the leadership of the company, Weinberg completely closed all decisions and the work of all key processes. They also recall the words from the presentation that Weinberg gave at an industry conference in 2014: "Marketing is dead, strategic management is dead, the 100-day plan." A Freudian slip from a man previously convicted of trying to eliminate his "strategic leader"? In one interview, in response to a journalist’s question “what is the long-term goal of the company and what do you strive for as a top manager?” Maxim Weinberg jokingly replied “to take over the whole world”. It may not work out with the world, but you should start worrying about the shares of equity holders of the Zvezda residential complex: if the anti-crisis managers have remained committed to their principle, the countdown of their “hundred days” has already begun.

When they “cut down the woods”, which is how one can describe the division of business between Shterzer and Bryndikov, accompanied by mutual accusations and lawsuits, the “slivers” - some kind of failed owners of small apartments in an unfinished complex - are the last to think about. Bigger pieces are at stake, which immediately attract interesting people who hope to snatch a little something on occasion. But if the former co-owners of "Alice" are well-known people in the city and their interests, in general, are understandable, then it is curious to take a closer look at the visitors, let's call them "fixers". The creditors of the Elis Group of Companies were unable to recover the funds necessary to complete the construction of the Zvezda residential complex. The battle is lost, but not the war, the developer reassures the equity holders.

In the St. Petersburg arbitration, the bankruptcy proceedings against the trading company Elis and LLC Sergievskoye were completed. Both are connected with the Alice construction holding, which has been tormented by a shareholder conflict for the past three years. The final court session on the bankruptcy of TC "Elis" began on June 14 with a dramatic note - a petition to challenge the judge. It was insisted on by S.K.E LLC (part of the Elis construction holding), as well as the developer's largest creditor, Aptekarsky LLC. Previously, this company bought out the debts of Elis Group to Sberbank in the amount of more than 3 billion rubles. It was assumed that the recovered amount would be used to pay off the contractors of the Zvezda residential complex, which was almost completed on Moskovsky Prospekt.

Sberbank initiated the personal bankruptcy procedure against Vadim Shtertser, co-owner of Elis Group of Companies, as well as his partners Viktor Nechiporenko and Yuri Petrov back in the spring of 2017. The reason was the non-fulfillment of the terms of the settlement agreement on servicing the loan, according to which all three acted as guarantors. for each claim amounted to 206.5 million rubles.

As Andrey Brovin, CEO of Stroykorporatsiya Alice (another fragment of the construction holding, which completes the construction of Zvezda), explained to Fontanka, the requirements that Aptekarsky LLC was going to present to TC Alice (100% owned by Viktor Nichiporenko ), as well as OOO "Sergievskoe" of the family of Yuri Petrov, are "solidary", that is, they are aimed at achieving the same thing, but in different ways.

However, Judge Pokrovsky refused to include Aptekarsky's claims in the register of creditors and left a number of complaints against the actions of the bankruptcy trustee of TC Elis without progress. This raises doubts about the impartiality of the judge, said the representative of Aptekarsky. Her opinion was supported by S.K.E LLC and Arbi-Club LLC. But the judge decided that there were no grounds for recusal, and continued the hearing.

Then the creditors asked not to put an end to the bankruptcy of TC "Alice". For example, the arguments of Aptekarsky, which were previously denied consideration, are now being studied in the appellate instance. In addition, bringing the former head of the company to subsidiary liability would help replenish the bankruptcy estate. The bankruptcy trustee of the Elis TC spoke out against: the debtor's property was completely sold out, only 0.14% of the requirements of the third stage were satisfied, so there is still nothing to pay the new creditors. There are no grounds for bringing management to subsidiary liability, she added.

Here the nerves of the shareholders present at the meeting could not stand it. “This is money for the completion of the house. It's been two years now!" Marina Enina, head of the initiative group, said from the spot. The judge made a remark to her, the woman did not let up, and he removed her from the hall. Then he spread his hands: “What do equity holders have to do with it, if the bankruptcy case of a trading company is being heard?” “I'm as surprised as you are,” the bankruptcy trustee replied. As a result, the judge completed bankruptcy proceedings against the trading company.

The hearing of the case on Sergievskoye LLC developed exactly according to the same scenario. The judge did not heed the requests of Aptekarsky LLC for a delay and closed the bankruptcy proceedings.

But it is too early to put an end to this matter, Andrey Brovin is sure. According to him, the developer's creditors will appeal the decision. “Today we received a legal conflict - the claims against Viktor Nechiporenko and Yuri Petrov as individuals were recognized, writ of execution received, bankruptcy cases were initiated. At the same time, the court considered the same claims against the companies they own to be unproven,” he said.

However, the chances through personal bankruptcies to recover the debts needed to complete the construction of the Zvezda do not yet look 100% either. After Sberbank asked to recognize Vadim Shtertser and his partners as insolvent, they filed applications. Until the court left them motionless, asking them to eliminate errors in registration. The proceedings on the lawsuit of Sberbank against Vadim Shtertser himself were terminated: the arbitration considered that after the sale of the claims to Aptekarsky credit organisation can no longer apply. But a similar lawsuit against Yuri Petrov and Viktor Nechiporenko was accepted for consideration.

Recall that the conflict between the owners of the Elis Group of Companies, Vadim Shtertser and Andrey Bryndikov, has been developing since 2014 with varying intensity. At the end of 2015, the parties agreed to divide the business by entering into an amicable agreement. In accordance with it, the specially created company Exxon Filt Industries, in which Andrey Bryndikov invested the remaining assets, was supposed to finance Zvezda and pay the debts of Sberbank. However, then the corporate war flared up with renewed vigor, which financed and built the Zvezda.

Now Stroykorporatsiya Alice is completing the construction of a residential complex with its own money, but does not lose hope of receiving funds from Aptekarsky's debtors. According to SPARK, earlier among the owners of this company were the co-owners of the large investment company Euroinvest, Yuri Vasilyev and Andrey Berezin, as well as the chairman of the board of directors of PJSC Svetlana, Vasily Pavlov. In 2016, Aptekarsky was resold to a little-known company, Victoria Stratton LTD, registered in Belize.

For the period from October 5, 2012 to October 29, 2014, the estimated cost of construction according to the project declaration increased from 1,071.12 million rubles to 1,305 million rubles. From December 11, 2012, the contractor was Elis-Stroy LLC, from April 8, 2013 - Elis Construction LLC, from December 3, 2013 - S.K.E. LLC. The latter is currently under liquidation. All of the companies listed above are part of the Elis group of companies.

Not everything is going smoothly for the developer and from a financial point of view. Invariably, all changes to the project declaration contain data on the state of affairs of the developer, according to which Alice constantly has accounts payable in the amount of about 2-4.5 million rubles. Which, in principle, is normal for the period when construction began, but raises questions at such a late stage. Given that the developer, according to the project declaration, at the beginning of construction worked at a profit, and now at a loss, it can be stated that the company has financial problems.

Apparently, the real problems of the company began somewhere at the end of 2015, from that moment on the developer’s official website, changes to the project declaration ceased to be published, but, of course, what led to them arose earlier, and at that time only brightly manifested itself. In November 2015, there were rumors about personnel changes in the leadership of Alice and even about the transfer of the house to another developer. And, indeed, the general director of the company has changed, the daughter of Elis-stroy has been declared bankrupt by the court, the founders have started litigation among themselves. In February 2016, it became known that six companies belonging to the Alice Corporation at once sent applications to the court to declare themselves bankrupt. Later it became known about the lawsuit of Sberbank for 3 billion rubles against the Alice Construction Corporation and related companies. As it turned out, the company took a loan secured commercial real estate. In March, the Federal Tax Service of the Russian Federation filed a bankruptcy lawsuit against companies belonging to the Elis Group of Companies. In April, it became known that the company, which filed a lawsuit for its own bankruptcy in February, withdrew it.

In June, it became known that the patience of the equity holders was over and they filed a complaint with the prosecutor's office - the delay in the deadlines for delivery was already 20 months, and the readiness of the house was estimated by the Construction Committee at 70%. At present, the developer's office informed us that it is planned to hand over the house before March 31, 2017, external work is almost completed, and communications inside the house are being carried out. But it remains unclear how and by what means the developer will do this.

It is not surprising that the Zvezda residential complex fell into the list compiled by market experts: the complex was rated well for its location and the project itself, and was recognized as a high-risk investment.
